Additional Information
Laura is a member of the firm's Corporate & Securities and Health Care & Life Sciences Practice Groups. In her corporate practice, Laura represents large companies, business owners, and individual entrepreneurs in a wide variety of transactions including:
- Negotiating and drafting contracts related to business operations, including manufacturing and supply agreements, consulting agreements, license agreements, financing agreements, and other transaction-based contracts.
- Organizational structuring and entity formation for closely-held businesses, including corporations, partnerships, and limited liability companies, and including advising clients with respect to the state and federal tax consequences of business operations and entity selection.
- Negotiating and drafting asset purchases and sales, mergers and acquisitions, reorganizations, and other significant restructuring transactions.
- Advising on succession planning for businesses, and integrating business succession planning of individual business owners with related estate planning strategies.
- Advising on corporate law matters in connection with business litigation.
- Structuring and drafting of agreements involving the purchase, sale, and transfer of aircraft.
Laura also represents health care and life sciences clients in general corporate and transactional matters. Her health care and life sciences clients include physicians and physician groups, durable medical equipment suppliers, and ancillary health care providers and facilities.
In addition to her practice, Laura is a frequent author and lecturer on issues related to corporate law.
