Ean is a member of the firm’s Corporate & Securities and Health Care & Life Sciences Practice Groups. In his corporate practice, Ean represents individual entrepreneurs, business owners, and entities in a wide variety of transactions including entity formation; organization planning; operational issues such as licensing agreements, manufacturing agreements and supply agreements; mergers and acquisitions; reorganizations and restructurings; and general corporate representation.
Ean also represents health care and life sciences clients in both general corporate and transactional matters and regulatory matters including state and federal fraud and abuse laws, Medicare and Medicaid enrollment and reimbursement, physician and facility licensing, and HIPAA. His health care and life sciences clients include physicians and physician groups, medical device manufacturers, skilled nursing facilities, home health providers, durable medical equipment manufacturers and suppliers, and ancillary health care providers and facilities.
Ean was born in the San Antonio area. Prior to attending law school he operated a small construction and landscaping company.
His experience includes:

Assisting in representing a large skilled nursing facility group in (i) the sale and lease-back of a portion of its portfolio to a health care REIT, and (ii) the complete divestiture of a separate portion of its portfolio.

Assisting in representing a start up company in a (i) private placement of preferred stock, and (ii) subsequent series of related asset purchase transactions with a view towards consolidating a discrete industry in the Texas market.
- Represented a group of individuals in the acquisition of a durable medical equipment company and the subsequent acquisition of a home health company.

Represented an individual in the acquisition of a franchise restaurant.

Represented a company in the drafting and negotiation of a licensing and manufacturing agreement with a key equipment supplier.

Assisted in representing a technology company in (i) the acquisition of tri-level debt financing involving both traditional bank financing and subordinated private equity financing, and (ii) the subsequent acquisition of two competitors with operations in new geographic areas.

Assisted in representing an academic medical center in regulatory and licensing issues related to the development of a newly constructed facility to house a multi-specialty physician clinic, imaging facilities, and an ambulatory surgical center.
- Assisted in representing a large physician group in the sale of substantially all of its assets to a hospital-affiliated approved non-profit healthcare corporation.
